Legal Counsel

SPE Capital is a leading Private Equity firm formed in 2016 from a spin-off from Swicorp, a leading investment banking firm with a specific regional focus on the MENA and Sub-Saharan Africa and invests in numerous sectors including manufacturing, distribution, pharmaceuticals and education. SPE Capital has offices in Tunis, Casablanca, Cairo, Abidjan and Paris. SPE Capital is seeking a Legal Counsel to join the Legal Department. We are looking for a highly motivated, driven and autonomous intern/ apprentice to be part of our global Private Equity team. The position would be based either in Tunis, Casablanca or Cairo.

This internship/apprenticeship experience will provide an excellent platform from which to launch a career in private equity, and the opportunity to gain specific region exposure. It will offer a broad experience and the ability to assess investment opportunities across several industries, in addition to participating first-hand in the management of SPE Capital's current investment portfolio.

Key Responsibilities

  • Provide legal assistance in connection with the legal aspects relative to SPE-Capital group, funds and investments and in support of the operations and investment teams
  • Draft and review a variety of legal agreements including operational contracts, intragroup agreements, non-disclosure agreements, non-binding offers, liaise with funds and SPV administrators and provide support on Know Your Customer processes
  • Communicate with external counsels (regulators, external counsel, public authorities) in connection with administrative and legal matters
  • Review Board agendas and minutes, draft minutes and corporate resolutions, prepare presentations and reporting on various topics relevant to legal, corporate governance and compliance matters.
  • Ensure compliance with all applicable laws, regulations, funds requirements and internal policies
  • Provide assistance on the development, maintenance and implementation of internal policies and best corporate governance practices
  • Advise on other administrative, governance, institutional and HR matters and organize and maintain databases and files

Candidate Profile & Requirements

  • Master’s or equivalent law degree
  • Qualified lawyer with at least two ideally three years of experience in a law firm and/or in-house corporate practice
  • Experience in compliance matters is a plus
  • Fluent in written and spoken English and French
  • Knowledge of Arabic is preferred
  • Have a high degree of attention to detail, administrative capabilities, drafting skills and information technology skills
  • Be a team player with outstanding communication, organizational and interpersonal skills
